The present Conditions of Sale are the only ones applying to the sales operated directly or indirectly through the Bugatti-Art-Collection-Auto.com Web Site. A - Definition As used herein, the following terms shall have the restrictive meanings indicated below :
B - Scope This Agreement sets out the basic terms and conditions of sale (the "Sales Conditions") which will apply to sales operated directly or indirectly through the Bugatti-Art-Collection-Auto.com Web Site, between Bugatti-Art-Collection-Auto.com and any buyer, professional or not. Buyer shall ask for an estimated time of availability confirmation by mail All models are made exclusively on demand, no stock www.bugatti-art-collection-auto.com will confirm by return the price, availability, shipping costs and required deposit. The sale is reputed concluded only when the first deposit is credited to www.bugatti-art-collection-auto.com account. Balance is always due before shipping or collection The buyer agrees to immediately pay by credit card in the www.bugatti-art-collection-auto.com SSL area the deposit or the Total Sales Price under the reference given by www.bugatti-art-collection-auto.com In the event www.bugatti-art-collection-auto.com is unable to provide the Model, after being paid for deposit or in full, www.bugatti-art-collection-auto.com will refund the full credited amount. The prices of all Models offered are not subject to VAT (FREE VAT goods) Remedies in case of Buyer non-compliance If any applicable conditions herein are not complied with by the Buyer, in addition to other remedies available to www.bugatti-art-collection-auto.com by law, including without limitation the right to hold the Buyer liable for the Total Sales Price, www.bugatti-art-collection-auto.com may cancel the sale and retain as liquidated damages all payments made by Buyer, resell the Model and Buyer will be liable for any deficiency, cost, including handling charges, the expenses sales. Currency Prices are offered in €uro. Buyer shall advise if he wants to use another currency Each sale is conducted in a single currency as per buyer's wishe and amount due is payable in €uro. In case of the buyer's currency is subject to variation between the deposit and balance time www.bugatti-art-collection-auto.com keeps the right to re adjust the amount to be paid on balance. G - Shipping & Delivery Procedures Shipping and Delivery Procedures can only take place when the Buyer has paid in full the Total Sales Price of the Model. There are 2 possibilities the Buyer can choose. www.bugatti-art-collection-auto.com as per confirmation quotation arrange the shipment and the delivery to the buyer. Buyer organize and pay the necessary at his convenience Packing Packaging costs are including in our prices Damaged Packages or Models upon arrival If Buyer receives a Model which package appears damaged upon its arrival, Buyer must not open it, He shall contact the shipper immediately. If, upon opening the package, Buyer discovers that the Model is damaged, he must immediately inform the carrier by registered letter with a copy per mail to www.bugatti-art-collection-auto.com who will guide him through his options. H - Buyer's Inspection & Period This article does not apply to Professional Buyer. If, for any reason, Buyer is not satisfied with a purchased Model and this Model is in the same condition in which he received it, he may return it within seven (7) days of receipt for a full refund, less shipping expenses and customs costs. In order to do so, Buyer must contact www.bugatti-art-collection-auto.com by e-mail at sales@bugatti-Art-Collection-Auto.com for detailed help on how to return the Model safely to www.bugatti-art-collection-auto.com The Model must be returned to www.bugatti-art-collection-auto.com in the exact same conditions in which Buyer received it, and must be packaged properly to ensure against damages. Buyer must prepay for return shipping and insurance for the Model and must use the shipping carrier given by www.bugatti-art-collection-auto.com Buyer is responsible for these and all other costs associated with the return of a Model. Buyer must subscribe an insurance policy to his benefit equivalent to the policy subscribed for his delivery. Buyer may not request a refund, for any reason, after the abovementioned seven day period. Exclusions Neither Buyer or www.bugatti-art-collection-auto.com will incur any liability to the Buyer or www.bugatti-art-collection-auto.com on account of any loss or damages resulting from any delay or failure to perform all or any part of this Agreement if such delay or failure is caused by an event of force majeure, by events, occurrences or causes beyond the control and without negligence of the parties. Such events, occurrences or causes will include, without limitation : acts of God, strikes, lock-outs, riots, acts of war, earthquakes, fire and explosions, acts of any government authority, water damage or interruption in telecommunication network or electricity network. I - Assignment www.bugatti-art-collection-auto.com reserves the right to assign or subcontract any or all of its rights and obligations under this Agreement. Should www.bugatti-art-collection-auto.com exercise this right, www.bugatti-art-collection-auto.com shall name the assignee or subcontractor on its homepage, www.Art-Collection-Auto.fr , or another explicitly mentioned page on the site such as the Information page. The assignment of the present agreement by Buyer is prohibited unless www.bugatti-art-collection-auto.com expressly authorizes it in writing and prior to the assignment. J - MISCELLANEOUS PROVISIONS Entire Agreement This Agreement and the General Terms of Use and other policies as www.bugatti-art-collection-auto.com may adopt from time to time, as each may be amended from time to time, constitute the entire agreement and understanding between the parties with respect to its subject matter and supersede all prior communications or agreements, written or oral or between the parties. In the event of conflict or inconsistency, the following priority shall apply : (1) Conditions of Sale (2) General Terms of Use (3) Any other legal document available on the Site. Modifications www.bugatti-art-collection-auto.com reserves the right to amend or modify from time to time the Conditions of Sale by posting the amended terms or modifications on the Information page available throughout the Site, including, but not limited to, changes due to regulatory or tax considerations. Each amendment will be effective as soon as it is posted on the Site. Such amendments shall not affect the sale of any Model for sale before such amendments are posted. Headings The headings to the articles in this Agreement are for ease reference only and shall not affect the interpretation or construction of this Agreement. The articles of this agreement are independant from each other. If one article of this agreement were to lose its accuracy for one reason or another, this would not affect the validity of other articles of this agreement. Waiver Any failure by www.bugatti-art-collection-auto.com to insist upon strict compliance with any provision of this agreement shall not constitute a waiver thereof and all provisions herein shall remain in full force and effect. Electronic Transactions To the maximum extent permitted by law, Buyer agree that the transactions conducted under these Conditions of Sale may be conducted electronically and that such transactions shall not be denied legal effect solely because an electronic signature and/or electronic record were used in the formation of the contracts underlying such transactions. Code of Conduct www.bugatti-art-collection-auto.com and Buyer are committed to maintaining the highest business, legal and ethical standards. In consideration of the complex ethical environment in which the international art community operates, each party commits to permanently meet its obligations and exercise its rights in good faith. Breaches of the Code of Conduct of this Agreement may result in the termination this Agreement with www.bugatti-art-collection-auto.com K - Governing Law & Dispute Resolution Governing Law This Agreement is deemed to have been completed in France, and is governed and construed in accordance with the laws of France. Litigation/disputes In the event of a dispute ensuing from the interpretation or the performance of this Agreement, the parties undertake to initially seek a friendly solution. If a such solution cannot be reached, the dispute will be for the exclusive competence of French courts, FRANCE, notwithstanding plurality of defendants or introduction of third party. |
